4. Client Responsibilities

To ensure successful delivery, clients agree to:

  • Supply required content, access credentials, and approvals

  • Respond to queries and feedback requests within reasonable timeframes

  • Ensure they own or have rights to all materials shared with us

Delays caused by missing inputs or approvals may affect project timelines.

5. Payments and Billing

  • All fees, payment schedules, and milestones will be communicated in advance

  • Payments must be made as agreed before work begins or continues

  • Late or unpaid invoices may result in project suspension

  • All fees are non-refundable unless explicitly stated otherwise in writing

Third-party costs (plugins, hosting, tools, ads, licenses) are billed separately unless included in the agreement.

6. Intellectual Property Rights

6.1 Client Materials

All content, logos, data, and materials provided by the client remain the client’s property.

6.2 Work Delivered

Upon full payment:

  • The client receives rights to use the final deliverables for their intended purpose

  • PassionateBrains retains the right to showcase the work in portfolios, case studies, or marketing materials unless otherwise agreed

Source files, reusable frameworks, or internal tools may remain the intellectual property of PassionateBrains unless specifically transferred.

7. Revisions and Approvals

  • Reasonable revisions are included as per the agreed scope

  • Excessive revisions or changes beyond scope may incur additional charges

  • Client approval at each stage confirms acceptance of work completed

Once approved, completed work is considered final.

8. Third-Party Services

We may integrate or recommend third-party tools, platforms, or services (e.g., hosting providers, plugins, analytics tools).

PassionateBrains is not responsible for:

  • Downtime or failures caused by third-party services

  • Changes in third-party pricing, policies, or features

  • Data loss or service interruption beyond our control

9. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or strategic information shared during the engagement, unless disclosure is required by law.

10. Limitation of Liability

To the maximum extent permitted by law:

  • PassionateBrains shall not be liable for indirect, incidental, or consequential damages

  • We do not guarantee specific rankings, traffic, revenue, or business outcomes

  • Total liability shall not exceed the amount paid for the specific service giving rise to the claim

All services are provided on a “best-effort” and “as-is” basis.

11. Termination

Either party may terminate services by providing written notice if:

  • There is a material breach of these Terms

  • Payments are not made as agreed

  • Cooperation becomes impossible or unreasonably delayed

Upon termination, completed work up to that date must be paid in full.

12. Website Usage

You agree not to:

  • Use our website for unlawful purposes

  • Attempt to gain unauthorized access to systems or data

  • Copy, reproduce, or misuse website content without permission

We reserve the right to restrict access for violations.

13. Modifications to Terms
